Credit bureau Experian has settled charges that it used free credit reports to deceive consumers into registering for a subscription credit monitoring service, the U.S. Federal Trade Commission said on Tuesday.

Experian, a unit of British retail and financial services group GUS Plc , has agreed to refund deceived consumers and give up $950,000 (526,000 pounds) in ill-gotten gains, the FTC said.

The FTC had complained that Experian promised free credit reports without adequately disclosing that consumers would automatically be signed up for a credit monitoring service and charged $79.95 if they failed to cancel within 30 days.

According to the FTC, Experian drove consumers to their www.freecreditreport.com and www.consumerinfo.com Web sites with radio, television, e-mail and Internet ads that promised free credit reports and bonus free trials of the credit-monitoring service.

Consumers were required to provide detailed personal information and valid credit card account numbers to get their credit reports.

GUS, the owner of Argos and Homebase, has bought a price-comparison website in the US for $485m (£273m).

PriceGrabber.com, which allows customers to compare prices for a product to get the best deal, will form part of GUS's Experian financial services division.

The website, which has offshoots in the UK and Canada, makes money through advertising. Retailers also pay it for each customer directed to their online store.

PriceGrabber.com expects sales of $60m in 2005, with earnings before interest and tax of $25m, around 50pc higher than last year.

Demerger of ARG and Experian


GUS plc, the retail and business services group, announces that it has commenced posting documents to its shareholders proposing the demerger and public listing of its two remaining businesses, Argos Retail Group (ARG) and Experian.

For every one GUS share, GUS shareholders will receive one ARG share and one Experian share, with GUS shares being cancelled. For every one GUS ADR, GUS ADR holders will receive one Experian ADR and the right to receive the US dollar proceeds (less fees, expenses and applicable withholding taxes, if any) of the sale by the depositary of one ARG share.


It is proposed that the demerger will be implemented in several steps. First, a new intermediate holding company will be inserted between GUS and the rest of the GUS Group and there will be a preliminary reorganisation of the ARG business in anticipation of the demerger. Second, pursuant to a scheme of arrangement (the 'Scheme') and certain reductions of capital (the 'Reductions of Capital'),
Experian Group will become the new holding company of the GUS Group and the separation of the ARG business and Experian business will be completed.
